Terms and Conditions of Sale

Customer and xThink agree that the purchase and sales of xThink software products ("the Products") are made under these terms and conditions, and that xThink shall not be bound by Customer's terms. Customer's order and purchase of the Products shall constitute acceptance of these terms and conditions.

1. xThink retains a security interest and right of possession in the Products until Customer makes full payment.

2. All orders are subject to acceptance by xThink.

3.Customer shall pay, applicable sales, use, service, value added or like taxes, unless Customer has provided xThink with an appropriate exemption certificate for the delivery destination acceptable to the applicable taxing authorities. Product prices are exclusive of applicable taxes.

4. Customer may return unwanted Products within fifteen (15) days of the Delivery Date. No returns will be accepted after the fifteen (15) day period has expired.

5. Customer acknowledges to have read these Terms and Conditions, understands them and agrees to be bound by them.
